I know they both come from the same factory, but..... why one over the other?

I went through the same process when I bought my first decent binoculars. The concensus was that ZEN ED has a more refined optics than Promaster.

The only difference is the Promaster has oil and water repellent coatings the original ZEN ED does not have. It has a warmer color balance than the ZEN ED 1. Otherwise it's a wash.

I picked 10x43 ZEN ED two years ago. It's still my primary binoculars.

I had thought the ED2 was a step above now. No mention of that Zen Ray here, why?

The promaster uses silver lens coating, which creates warm color bias. The ED2 has newer dielectric lens coating and water repellent (like rainguard) function. It is brighter and more neutral in color.
